Just when everyone thought na tapos na ang drama sa MPI ay biglang:

Let’s talk about MPI Delisting.
Gusto magpadelist ng MPI kasi they can grow their company further outside the watchful eye of PSE or the public kaya gusto nila idelist at gawing private.
Para madelist ay kailangan magtender sila ng offer which kung sisimplihan natin ay nangangahulugan na kailangan nilang bilhin ang mga shares na hawak ng ibang investor or shareholder.
Ang unang price ay 4.63 pesos at marami ang umalma na sobrang baba nito. Tinaasan nila at naging 5.20 pesos na.
Now, may rules ang pagdedelist.
Kailangan mong bilhin or eh acquire ang 95% of outstanding shares after ng tender offer.
Prior 2020 ay kailangan mo lang ng approval ng board at pwede ka na magproceed sa pagdelist.
Binago ito nung 2020.
The delisting must be approved by: a. At least two-thirds of the entire membership of the board, including the majority, but not less than two, of all of its independent directors; and b. Stockholders owning at least two-thirds of the total outstanding and listed shares of the listed company.
Under the rules, the company must also make sure that votes against the delisting plan do not exceed 10% of a company’s total outstanding and listed shares.

Now, nasaan ang problema?

Namili ng namili ang GSIS ng shares ni MPI until it now has over 11 percent ng total outsanding shares.
Why is this relevant?
All other listed firms are required to maintain a minimum public float of 10 percent para hindi mainvoluntary delisted.
Kung iisipin mo diba? Ang rules sa voluntary delisting eh kailangan mo makuha ang 95 percent ng all outsanding shares tapos may rule din na below 10 percent ay subject ka for involuntary delisting which contradicts the need for 95% para sa voluntary delisting.

Ano ang mangyayare? Ano ang gagawin ni MPI?
Higher tender offer ba ang gusto ni GSIS or ayaw talaga nila madelist ang MPI?
Ano ba average price ni GSIS? If nasa 7 pesos ang average nila ay I can understand bakit they are making this moves kasi di naman pwedeng ipatalo nila investment nila eh public fund pa naman sila.
The funny thing is hindi ito ang unang beses na nagbanggaan ang GSIS at MPI.

What will happen next?
That remains to be seen. How will MPI react to this?
How will other companies react to this as well.
Imagine na nag IPO ka nga or nagpalist ka sa PSE para kumuha ng capital. Yun lang main purpose mo. Tapos sa time na gusto mo nang umalis eh di ka pwedeng umalis?

How will PSE handle this issue will have effects on other companies na nagpaplan magIPO plus other companies na nagpaplan magdelist.
