HOLCIM: The Second Chance

SEC asked HOLCIM to conduct a second round of tender offer to acquire the shares held by minority investors.

The SEC said the second tender offer should be conducted within 20 days from the receipt of the order or by Sept. 28, 2023.

The first round of tender offer was held from July 10 to Aug. 30, 2023.

This is a beautiful thing.

WHy The Delay?

Ang layo din talaga ng difference kapag trader ka with decades of actual trading experience compared dun sa nagrereport ka lang ng balita kasi yung extension ng tender offer ay hindi mo nakikita as a positive thing para sa mga retail traders especially OFW na nahihirapan magprocess or walang time. I can recall na ang laking problema nito some years ago sa mga stocks na nagpadelist din.

“Nag extend ang MPI ng tender offer period. Bakit may delay?”

“Nag extend din ang HOLCIM ng tender offer period. Bakit din delayed?”

All you see is the delay of payments and the delay of something na dapat smooth ang process kapag you are outside looking in.

I do not see it as a delay but a second chance for those na hindi nakaavail ng unang tender offer.

I know a few seaman na few weeks ago lang nalaman na madedelist ang HOLCIM at may tender offer dahil inabot ng months na wala silang internet sa kanilang barko.

I do believe na any extension sa tender offer periods of any kind ay good.

Based on experience ay andami talagang namimiss ang mga ganitong periods kasi andaming traders at investors na hindi agad nakakabalita or nakakasilip ng accounts nila even emails nila.

Pricing

Ang last traded price ni HOLCIM ay 3.87 pesos last June 29.

Binibili nila ang shares sa tender offer at 5.33 pesos.

Ito ang mga instances kung saan yung VWAP ng isang taon ay nagwowork sa favor ng mga holders.

Sa case ni MPI yung VWAP niya ng isang taon ay mababa.

Kaya may nagsasabi na unfair ang pricing.

Learning Experience

Yung mga delisting na ito ay malaking learning experience sayo kapag wala ka pa gaanong experience sa stock market.

Take it in kahit pa hindi ka involved sa mga nadelist na stocks.

May mga broker na nag-eextend ng help sa pagprocess at meron din naman na bare minimum ang assistance na binibigay.

Nakikita mo din ang difference ng nadelist while suspended at nagvoluntary delist na hindi suspended.
