MPI VS GSIS PART 2 -

I was expecting a blow-by-blow mula kina MPI at GSIS.

Magpapadelist si MPI. Kailangan nasa 95% ang makuha niya na shares.

Mula 35 ay aggressively namili si GSIS para umangat sa 12% hawak nila at magkaroon ng upper hand at say sa delisting move ni MPI.

I was expecting MPI to come to the table kasi akala ko ang point ng GSIS ay dahil 5.2 pesos ay mababa na tender offer price at gusto nila ng mas mataas since baka ang average nila ng pagbili noon ay above 6 or above 7.

Ang gulo ng nangyayare.

Himayin nga natin.

Nais magpadelist ng MPI.

Nagtender offer ng 4.63 pesos.

Marami nagreklamo dahil mababa ito.

Tinaasan nila ng konti up to 5.2 pesos.

Mukhang plantsado na lahat.

Biglang namili ng namili pala ang GSIS para umangat ng 12 percent ng buong outstanding shares ang hawak nila na MPI shares.

Problema ngayon ni MPI kasi di siya makakapagdelist since need niya 95% ng shares eh na ke GSIS ang 12%.

Na ke GSIS ngayon ang position of power.

Ano Ba Ang Motivation Ni GSIS?

Mapapaisip ka ngayon.

Ano ba motivation ni GSIS?

Higher tender offer price?

Wag magpadelist ang MPI?

Mula 3 percent to 12 percent in few days?

Diba government fund ang GSIS? Mga long-term na positions kadalasan ang purpose ng pagbili nila dapat diba?

Ano Actions Ni MPI?

Magnenegotiate kay GSIS?

Cancel ang delisting?

Magreklamo kay PSE?

PSE

Marami minsan ang nakakalimot na private company ang PSE.

Marami din nakakalimot na yung mga nagpapalist ay clients ni PSE since nagbabayad ang mga yan ng mga fees even after nila magpalist.

Can you imagine if gusto ni MPI magpadelist tapos hindi makapadelist kasi may shareholder na humarang?

Can you imagine what would other companies think?

Sarili mong negosyo ay di mo maiprivate.

Ang punta mo lang naman or ang main reason na nagpalist ka sa stock amrket ay para magkaroon ng extrang capital then nung gusto mo na umalis ay di na pwede.

That is not a good look for other listed companies plus those na magpapalist or mag IPO pa lang.

Uno Reverse Card

“GSIS stated that it understands that since it owns more than 10% of the outstanding common shares of MPIC, pursuant to the Rule on Minimum Public Ownership, its shares in MPIC are now considered as non-public shares. The GSIS also stated in the letter that it is aware that a Petition for Voluntary Delisting of MPIC has been filed with the PSE and that it intends to remain a shareholder of MPIC after the completion of the voluntary delisting.”

Dati public shares ang shares na hawak ni GSIS pero may bagong revision ang PSE na once you own 10% or more of the outstanding shares eh hindi na kasama sa public or public float ang hawak mo.

Boom!

Di na problema ngayon ang GSIS kaya mas malaki na chance na matuloy ang pagdedelist ng MPI.

Malaki chance lang kasi may option naman sila to scrap the tender offer bago ang settlement date sa September 19 eh.

Interesting case

I understand why PSE had that revised rule.

I’m more interested on why GSIS suddenly made that move.

Para kasing powerplay.

Bumili ng shares sa company na nagpapadelist?

Why now?

Mas mababa price ni MPI few months ago to last year ah.

If it was a pure investment move edi dapat noon pa.

Even after magsabi ni MPI na magpapadelist siya eh ambaba pa din ng price niya.

Why now lang? Kung board seat ang habol edi noon pa sana.

This feels more of an emotional move than a well-planned one.

Parang nabalewala ata sila kaya nagpakita ng power kasi against sila sa pagpapadelist nito sa simula pa lang eh.

Yung pag increase ng size mula 3 percent to 12 percent does not make any sense kung di mo naman pala mapipigilan ang delisting diba?

If purpose ids to invest edi dapat noon pa nung mas mababa pa price ng MPI. Yung mga upcoming projects, plans, etc. ni MPI noon pa naman alam ng lahat yan.

Well, I’m someone looking in kaya wala akong idea or first-hand information kaya all I have is my opinion. Maybe may justified reason ang mga moves nila na di ko alam.

These are ultra smart and experienced people so baka nga may reason sila sa mga ginagawa nila na di alam pa ng public.

Lets see if matutuloy ang pagdedelist ngayon na nasolutionan ng PSE ang move ng GSIS.
